Lexar Media Executives Adopt 10b5-1 Plans
FREMONT, Ca., September 23, 2002 -- Lexar Media, Inc. (Nasdaq: LEXR),
a leading developer of flash mass storage systems and an innovator of high-performance
digital media and accessories, today announced that certain of its executive
officers and directors have adopted stock trading plans for the structured personal
sale of Lexar Media common stock in accordance with guidelines specified by
the Securities and Exchange Commission's Rule 10b5-1 under the Securities Exchange
Act of 1934.
Rule 10b5-1 allows corporate insiders to establish prearranged written plans
to sell a specified number of shares of company stock over a predetermined period
of time, committing in advance the number of shares to be sold and the corresponding
prices at which such sales will take place. Insiders may adopt such plans when
they are not in possession of material inside information in order to gradually
change their investment portfolio, to minimize the market effect of stock sales
or purchases by spreading them out over an extended period of time and to avoid
concerns about initiating stock transactions while in possession of material
non-public information.
